Terms of Service

1. Eligibility & accounts

You must be at least 18 years old and competent to enter a contract under the Indian Contract Act, 1872. You are responsible for keeping your login credentials confidential and for every action taken on your account. Notify us immediately at info@xspine.in if you suspect unauthorised access.

2. Subscriptions, billing & trials

• Every new bakery starts with a 14-day free trial. No payment is required during the trial.
• After the trial, your chosen plan auto-renews on each billing date until you cancel. Plans, prices, and platform options (Web / Mobile / Both, Monthly / Annual / Lifetime) are listed on /pricing and are managed live from our admin panel.
• Prices are exclusive of 18% GST, which we add to every invoice.
• You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. We do not refund unused portions of a billing period, except where required by Indian consumer law.
• If a payment fails, we will retry and email you. After 14 days of unpaid invoices we may suspend your account; after 60 days we may terminate it.
• Lifetime plans, where offered, are one-time purchases that grant access to the Service for as long as XSpine continues to operate xcoms, and are non-refundable except where required by law.

3. Your data & your customers’ data

You retain full ownership of the data you upload to xcoms — your menu, orders, customer records, photographs, and storefront content. We act as a processor for that data on your behalf; how we handle it is described in our Privacy Policy.

You confirm that you have the right to upload every piece of data you upload — including customers’ phone numbers and addresses — and that you will respect their rights under the DPDP Act, 2023. You will not use xcoms or the connected WhatsApp Business API to send spam, unsolicited marketing, or content that breaks the law.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose, or to sell goods that are unlawful to sell in India.
• Reverse-engineer, decompile, or attempt to extract the source code of any xcoms application except to the extent permitted by law.
• Resell, sublicense, or white-label the Service without a written agreement from XSpine.
• Send through the Service any content that is defamatory, hateful, infringes someone else’s rights, or violates Meta’s WhatsApp Business policies.
• Probe, scan, or attempt to disrupt the Service’s security or availability.

We may suspend or terminate accounts that breach these rules. Where the breach is recoverable, we’ll usually warn you first.

5. Intellectual property

xcoms, the xcoms logo, the XSpine brand, the X Products name, and all software behind the Service are the intellectual property of XSpine Tech. These Terms do not grant you any rights to use those marks except to identify yourself as a customer.

6. Online storefront (ecom plan)

If your plan includes the ecom storefront, you grant us a limited licence to host your cake catalog, photos, and storefront content on the xcoms.in subdomain you choose, or on a custom domain you point at our servers. You are responsible for the accuracy of your prices, the fulfilment of orders placed through the storefront, and any consumer obligations under Indian law.

7. Warranty disclaimer

We work hard to keep xcoms reliable, fast, and accurate, but the Service is provided “as is” and “as available”. To the maximum extent permitted by Indian law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the maximum extent permitted by Indian law, XSpine’s total cumulative liability arising out of or relating to the Service in any 12-month period will not exceed the amounts you paid us for the Service in the 12 months preceding the claim. We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data.

9. Indemnity

You agree to indemnify and hold XSpine harmless from any claim arising out of your data, your customers’ data, your storefront content, or your breach of these Terms.

10. Termination

You may close your account at any time from settings. We may suspend or terminate accounts that breach these Terms or that go unpaid (see Section 2). On termination, the limitations and disclaimers in these Terms survive.

11. Governing law & jurisdiction

These Terms are governed by the laws of India. The courts at Ernakulam, Kerala have exclusive jurisdiction over any dispute arising from these Terms or the Service.

12. Changes to these Terms

We may update these Terms as the product evolves or the law changes. When we make material changes we will notify active subscribers by email at least 14 days before the change takes effect. Continued use of the Service after a change means you accept the updated Terms.
